Through our multifaceted investment strategy in all aspects of the thoroughbred Industry, Tropical Racing just closed as lead investor and partner in Game of Silks – the first derivative gaming platform that leverages a blockchain-enabled metaverse to parallel the real world of thoroughbred horse racing.  The Silks metaverse is powered by a play-to-earn (P2E) gaming economy where anyone can experience the thrill of owning race horses and horse farms, while reaping valuable tokens through skilled gameplay and contributions to the ecosystem. The Silks community will have the ability to acquire, collect, trade and interact with digital assets that represent actual thoroughbred racehorses in the real world!

SECURITY TYPE

Our offering is priced at $3.50 per unit. Each unit is comprised of one (1) Tropical Racing common share and one (1) common share warrant.

WARRANTS

Each unit contains a common share warrant – each of which can be exercised (purchased) at the price of $5.00 per Tropical Racing common share.

In our offering, a warrant is a security that entitles the holder to buy Tropical Racing’s common stock at $5.00 (called the exercise price) for 18 months following the initial investment.

MINIMUM INVESTMENT

Our investment minimum is $1,050 which equals 300 units.

We’ve selected Reg A+, the method of securities law that allows us to compliantly offer VC-like investments to everyone — not just institutions and the ultra-rich. We aim to invest in land and thoroughbred racing horses to increase our asset driven business model and breeding operation. Amazingly, our assets have the ability to multiply every year. Think of a rental building that is sold out. Wouldn’t it be amazing if every room can multiply every year? That’s’ the thoroughbred racing and breeding industry. Each horse is an asset that we can then turn the asset into multiple revenue strings in perpetuity.

How do I send money for my investment?

It’s easy! You can send a Wire Transfer, ACH, or personal check. You can also invest via Credit Card or via a retirement account.

What is the minimum I need to invest?

In order to participate in this opportunity, you will need to invest a minimum of $1,050 USD.

When are you planning on going public?

Tropical Racing is unique in that there are multiple and, potentially, evergreen ways that investors can enjoy returns. In addition to later stages, we hope to disperse regular dividends. We can have one or many of our foals, yearlings, and horses of racing age sell at public auctions nationwide. Assets – inventory we acquire and build – generate returns. As the company evolves, we will determine the best path to give the highest possible returns for our investors.

What is the last day to invest with Tropical Racing?

Once we hit our target total, we will no longer take investments. With that being said, we may close the offering earlier than when we hit our target raise for a variety of business-model reasons. Because of this, we do suggest that if you are interested in investing in Tropical Racing, that you do so early.

What are the funds being used for?

Funds will be used to buy additional assets, land, and thoroughbred racehorses throughout all the major sales worldwide, as well as private horse purchases. Tropical Racing’s expertise team will seek opportunities and grant us the ability to purchase undervalued livestock and land, ultimately giving us the ability to expedite our revenue streams.

How will I keep updated on the performance of my investment?

We will update you at least on a quarterly basis. These updates will be done through our software and you will receive an email outlining the performance of Tropical Racing and its various companies.

Do I need to be an accredited investor to invest in this offering?

As a Regulation A+ Offering, you do not need to be an Accredited Investor. However, if you are not an Accredited Investor, you will only be able to invest 10% of your annual income or total available funds.

What are the requirements to be an accredited investor?
To be an accredited investor, a person must either: 1) Have an annual income exceeding $200,000 ­– or $300,000 for joint income – for the last two years, with the expectation of earning the same or higher income in the current year. 2) A net worth of at least one million US dollars, excluding that individual’s primary residence.
If I invest now, can I invest more in the future?
We may or may not have an additional offering at some point in the future. This will depend on a number of factors.
How often will there be informational updates from the company?

We aim to make an investment in Tropical Racing both a solid investment opportunity, as well as a great journey that our investors can enjoy and learn about within the thoroughbred racing and breeding industry.
